Terms of Service

These Terms of Service (“Terms”) are an agreement between you and 14580214 Canada Inc., operating as Acclus (“Acclus,” “we,” “us,” or “our”), governing your access to and use of the Acclus website and services (the “Service”).
1. Acceptance
By creating an account or using the Service, you agree to these Terms. If you do not agree, do not use the Service.
2. The Service
Acclus provides client-retention and messaging tools for businesses, including detecting at-risk clients and drafting and sending retention messages on your behalf.
3. Your account
You are responsible for the accuracy of your account information, for keeping your credentials secure, and for all activity under your account.
4. Your data
You retain ownership of the client data you import or sync into the Service. You grant Acclus a limited license to process that data solely to provide the Service to you. You are responsible for having the right to provide that data to us.
5. Messaging and consent (important)
You are solely responsible for ensuring you have obtained all consents required to contact your clients by email or text message, and for complying with all applicable laws and carrier rules, including Canada’s Anti-Spam Legislation (CASL), the U.S. Telephone Consumer Protection Act (TCPA), and CTIA messaging guidelines. You will not use the Service to send unlawful, unsolicited, or deceptive messages. You will promptly honor opt-out requests.
6. Acceptable use
You will not misuse the Service, attempt to disrupt it, access it without authorization, or use it for any unlawful purpose.
7. Fees
Fees, if any, are described at the time of signup or in your plan. Fees are non-refundable except where required by law.
8. Disclaimers
The Service is provided “as is” without warranties of any kind, to the maximum extent permitted by law. We do not guarantee specific retention or revenue outcomes.
9. Limitation of liability
To the maximum extent permitted by law, Acclus will not be liable for indirect, incidental, or consequential damages, and our total liability will not exceed the amount you paid us in the twelve months preceding the claim.
10. Termination
You may stop using the Service at any time. We may suspend or terminate access for violation of these Terms or as required by law.
11. Governing law
These Terms are governed by the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict-of-laws principles.
12. Changes
We may update these Terms from time to time; material changes will be reflected by updating the “Last updated” date.
